Terms and Conditions
1.1. Scaleruns offers a subscription-based software service. By subscribing to Scaleruns, you agree to pay the applicable fees as outlined in the pricing plan provided by Scaleruns.
1.2. Payments for the subscription will be due monthly, beginning exactly one month after the initial payment. Payment can be made via the authorized payment methods accepted by Scaleruns.
1.3. Once a payment has been executed for a given month, there will be no refund or credit for that month. You are responsible for timely cancellation of your subscription to avoid future charges.
2.1. You may cancel your subscription at any given time by contacting a Scaleruns representative or by using the software's subscription management features within the billings tab.
2.2. Upon cancellation, your access to the software and its features will be terminated at the end of the current billing cycle. This includes access to your website and domain (if created/ hosted by Scaleruns) and your digital advertisement campaigns actively managed by Scaleruns.
2.3. Scaleruns reserves the right to suspend or terminate your access to the software at any time for violation of these terms and conditions or any misuse of the software.
3.1. Scaleruns acknowledges that the features provided to clients may vary depending on their specific needs.
3.2. Prior to using the software, clients will go through onboarding sessions where their requirements and desired features will be discussed. Scaleruns will make commercially reasonable efforts to provide the agreed-upon features to the client.
3.3. Any additional features or modifications requested by the client may be subject to additional fees and agreement between the client and Scaleruns.
4.1. Scaleruns will provide on-boarding support to clients to ensure adequate understanding of the Software features and applications. This will comprise of on-boarding sessions and video based course to provided appropriate training.
4.2. Scaleruns will provide support to clients for software-related issues. The support will be offered through the designated support channels provided by Scaleruns.
4.3. While Scaleruns will assist clients with software-related questions and issues, Scaleruns is not responsible for managing client accounts by responding to customers, managing leads, or conducting social media advertisements, unless explicitly agreed upon in a separate agreement.
4.4. Scaleruns will not be liable for any damages or losses incurred by the client, including but not limited to financial loss, data loss, or business interruption arising from the use or inability to use the software or any services provided by Scaleruns.
5.1. Digital marketing services and website creation/upkeep are additional services offered by Scaleruns to select clients under the professional plan.
5.2. The specifics of the digital marketing and website services, including scope, deliverables, and terms, will be outlined in a separate agreement between Scaleruns and the client.
5.3. Scaleruns reserves the right to modify or discontinue the digital marketing and website services at any time, subject to providing reasonable notice to the client.
6.1. All intellectual property rights, including but not limited to software, trademarks, logos, and content, associated with Scaleruns software and services, are the property of Scaleruns or its licensors.
6.2. You agree not to reproduce, modify, distribute, or create derivative works of any portion of the software or its associated intellectual property without the explicit written consent of Scaleruns.
7.1. These terms and conditions shall be governed by and construed in accordance with the laws of the courts of King's Bench of Alberta, without regard to its conflict of laws principles.
7.2. Any disputes arising out of or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts of King's Bench of Alberta.
8.1. Scaleruns reserves the right to modify or update these terms and conditions at any time without prior notice.
8.2. Any changes to these terms and conditions will be effective immediately upon posting on the Scaleruns website or notifying clients through other means.
8.3. It is your responsibility to review these terms and conditions periodically for any changes. Your continued use of the software after the changes will signify your acceptance of the updated terms and conditions.
By using Scaleruns software, you acknowledge that you have read, understood, and agreed to these terms and conditions.
