Terms and Conditions

Introduction

Scaleruns provides an AI Voice Receptionist service (the “Service”) designed to handle inbound and outbound calls, book appointments, send follow-up communications, and integrate with clients’ customer relationship management (CRM) and calendar systems. These Terms and Conditions govern your use of the Service.

Please read these terms carefully before using the Service. By accessing or using the Service, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you should not use the Service.

Subscription and Payments


1.1. Scaleruns offers the Service on a subscription basis. By subscribing to the Service, you agree to pay the applicable fees as outlined in your Scaleruns pricing plan or agreement.

1.2. The Service is provided on a monthly subscription model. In addition to the recurring monthly subscription fee, a one-time upfront service/setup fee will be charged to cover initial onboarding and configuration of the AI voice receptionist. This one-time setup fee is due at the commencement of the Service and is non-refundable once the Service has been initiated.

1.3. Payments for the subscription are due on a monthly cycle, beginning exactly one month after the initial payment (which may include the first month’s fee and any setup fee). Payment must be made via the authorized payment methods accepted by Scaleruns.

1.4. Once a payment has been executed for a given billing period, there will be no refunds or credits for that period. You are responsible for timely cancellation of your subscription (per Section 2 below) to avoid future charges.

Cancellation and Termination

2.1. You may cancel your subscription at any time by contacting a Scaleruns representative or through the Service’s account management or billing settings.

2.2. Upon cancellation, your access to the Service and its features will continue until the end of the current paid billing cycle, after which it will be terminated. This means the AI voice receptionist will cease handling calls, booking appointments, or performing any other services on your behalf once the current subscription period concludes.

2.3. Scaleruns reserves the right to suspend or terminate your access to the Service at any time if you violate these Terms and Conditions or misuse the Service. In such cases, Scaleruns may terminate the Service immediately without prior notice.

Client Needs and Features

3.1. Scaleruns acknowledges that the features and configurations of the Service provided to each client may vary depending on the client’s specific needs and chosen plan. The AI voice receptionist can be customized to fit your business requirements (for example, tailoring call scripts, scheduling rules, and integrations).

3.2. Prior to using the Service, you will participate in an onboarding process. During onboarding, your requirements and desired features will be discussed in detail. Scaleruns will make commercially reasonable efforts to provide the agreed-upon features and to configure the AI receptionist according to your business’s needs. This includes setting up call handling scripts, integrating with your CRM and calendar, and training the AI on information you provide (such as your website FAQs and common customer inquiries).

3.3. Any additional features or modifications beyond the initially agreed-upon scope may be subject to additional fees and a separate agreement between you and Scaleruns. Scaleruns will inform you of any extra costs before implementing such additional features or customizations.

3.4. You are responsible for providing accurate and comprehensive information needed to train and configure the AI voice receptionist. This includes, but is not limited to, your current business information, product or service details, website content, FAQs, and any other reference materials that will help the AI receptionist accurately represent your business when handling calls.

3.5. You are responsible for reviewing and approving any call scripts, dialogue templates, or conversation flows that the AI voice receptionist will use when interacting with your callers. Scaleruns will collaborate with you to develop these scripts during onboarding. Your approval is required to ensure that the AI’s responses meet your standards and comply with any industry regulations or guidelines relevant to your business.

3.6. You must keep your scheduling information and calendars up to date and accurately synced with the Service. The AI voice receptionist relies on your calendar availability to book appointments. It is your responsibility to promptly update any changes in your schedule, working hours, or booking availability. Failure to maintain current calendar information may result in scheduling conflicts or missed appointments.

Support and Liability

4.1. Scaleruns will provide onboarding support to help you understand and make the best use of the Service’s features and applications. This support may include live onboarding sessions, documentation, and video-based tutorials to train you or your team on using the AI receptionist and related software features.

4.2. Ongoing support for software-related issues will be available through Scaleruns’ designated support channels (such as email support, chat support, or phone support as provided). Scaleruns will assist with troubleshooting the Service and addressing any performance or technical issues that arise with the AI receptionist software.

4.3. While the Service automates certain customer communications on your behalf, Scaleruns personnel are not responsible for performing manual receptionist duties or other business tasks outside the scope of the Service. This means Scaleruns will not personally respond to your customers, manually manage your leads, or run your marketing campaigns (such as social media or advertising efforts) unless explicitly agreed upon in a separate written agreement.

4.4. Scaleruns will not be liable for any damages or losses you may incur, including (but not limited to) financial loss, lost business opportunities, data loss, or business interruption, arising from the use of or inability to use the Service or any services provided by Scaleruns. You acknowledge that the Service is an automated system and, as with any software, may not be 100% error-free or uninterrupted.

4.5. The performance of the AI voice receptionist depends in part on the information and guidance you provide. Scaleruns is not responsible for errors, missed communications, scheduling conflicts, or other issues that result from your failure to fulfill the client responsibilities outlined in these Terms (such as providing incomplete or inaccurate information, not keeping your calendar current, or not approving scripts in a timely manner). You agree that you use the Service with the understanding that its accuracy and effectiveness are influenced by the quality and timeliness of the data and content you supply.

4.6. The Service may integrate or rely on third-party systems and services — for example, telephone networks/carriers, CRM software, calendar applications, or other services that you connect to the AI receptionist. Scaleruns is not responsible for any limitations, downtime, or errors caused by these external services. Any interruption or issue originating from a third-party provider (such as a phone service outage or a malfunction in a linked calendar/CRM system) is outside of Scaleruns’ control, and you agree that Scaleruns will not be held liable for any consequences arising from such issues.

Digital Marketing and Website Services

5.1. Digital marketing services and website creation/maintenance are additional services that Scaleruns may offer to certain clients (for example, under specific premium plans or arrangements). These services are separate from the core AI Voice Receptionist Service and are not included in the standard subscription unless explicitly stated in your plan.

5.2. If you opt to use Scaleruns’ digital marketing or website services, the specific scope, deliverables, fees, and terms for those services will be outlined in a separate agreement or addendum between you and Scaleruns. Any such agreement will detail what is provided (e.g., search engine marketing, social media management, website design or hosting) and any obligations of each party.

5.3. Scaleruns reserves the right to modify or discontinue any optional digital marketing and website services at any time. If such changes occur and you are affected as a client of those services, Scaleruns will provide reasonable notice to you. Discontinuation or changes to these additional services will not affect your use of the core AI receptionist Service, except insofar as specified by any separate agreement.

Intellectual Property

6.1. All intellectual property rights related to the Service and Scaleruns software, including but not limited to the underlying software platform, AI models and algorithms, scripts and dialogue content provided by Scaleruns, trademarks, logos, and other proprietary content, are and will remain the property of Scaleruns or its licensors. Your subscription grants you a limited, non-exclusive right to use the Service for your business purposes, but it does not transfer any ownership of intellectual property to you.

6.2. You agree not to reproduce, modify, create derivative works from, distribute, or publicly display any portion of the Service or its underlying software and content (including the AI’s scripts or responses provided by Scaleruns), unless you have received express written consent from Scaleruns. Similarly, you must not reverse-engineer or attempt to extract the source code or machine learning models of the Service, except to the extent allowed by law notwithstanding this restriction.

Governing Law and Jurisdiction

7.1. These Terms and Conditions shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada. This governing law applies without regard to conflict of law principles.

7.2. Any disputes arising out of or in connection with these Terms and Conditions or your use of the Service shall be subject to the exclusive jurisdiction of the courts of the Province of Alberta. Specifically, you agree that any legal proceedings shall be brought in the courts of King’s Bench of Alberta (or the appropriate courts within that jurisdiction), and you consent to the exercise of personal jurisdiction by such courts.

Changes to the Terms and Conditions

8.1. Scaleruns reserves the right to modify or update these Terms and Conditions at any time. Changes can be made for reasons including but not limited to compliance with new laws, enhancement of Service features, or clarification of policies.

8.2. If any changes or updates are made to these Terms and Conditions, Scaleruns will make the revised Terms available by posting them on the Scaleruns website or by otherwise notifying clients (for example, via email or an in-app notification). Such changes are effective immediately upon posting or notification, unless otherwise stated.

8.3. It is your responsibility to review these Terms and Conditions periodically for any updates. Your continued use of the Service after any modifications to the Terms will constitute your acknowledgment of the modified Terms and your agreement to abide by them.

8.4. If you do not agree with any revised Terms and Conditions, you must stop using the Service and, if applicable, cancel your subscription.
